01

Acceptance & Scope

These Terms of Use (“Website Terms”) govern access to and use of this website and its publicly available content, features, forms, downloads, and resources operated by Oak Leaf Agency LLC d/b/a OAK LEAF BOUTIQUE (“OAK LEAF BOUTIQUE,” “we,” “us,” or “our”).

By using this website, you agree to these Website Terms. If you do not agree, do not use the website. These Website Terms apply only to website use and are separate from our Client Terms & Conditions, Engagement Letters, and service schedules.

02

Website Information

Website content is provided for general educational and informational purposes. It is not individualized tax, legal, immigration, investment, financial, accounting, or insurance advice and should not be relied upon as a substitute for a professional review of your circumstances.

Our Disclaimer forms part of these Website Terms and provides additional professional and regulatory disclosures.

03

No Client Relationship

Using the website, downloading the OAK LEAF Blueprint, completing a form, sending a message, or participating in an introductory consultation does not create a professional or client relationship.

A client relationship exists only after OAK LEAF BOUTIQUE and the applicable client have completed the required written engagement process. The resulting relationship is governed by the executed Engagement Letter, applicable schedules, and the separate Client Terms & Conditions—not by these Website Terms.

04

Permitted Use

You may use the website for lawful, personal, and internal business-information purposes. You may not:

  • interfere with the website, its security, or its technical operation;
  • attempt unauthorized access to accounts, systems, source code, or data;
  • introduce malicious code, automated attacks, scraping at an unreasonable scale, or other harmful technology;
  • misrepresent your identity or submit information you are not authorized to provide;
  • use website content to provide competing commercial services or train, populate, or market another commercial product without written permission; or
  • use the website in violation of applicable law or third-party rights.

We may restrict or terminate access where reasonably necessary to protect the website, our business, our users, or third parties.

05

Intellectual Property

The website and its text, design, graphics, branding, logos, photographs, downloads, frameworks, articles, selection, arrangement, and other original content are owned by or licensed to Oak Leaf Agency LLC and are protected by applicable intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use public content for your own informational purposes. Except as permitted by law or expressly authorized in writing, you may not reproduce, modify, distribute, publish, sell, license, create derivative works from, or commercially exploit website content.

The OAK LEAF Blueprint

The OAK LEAF Blueprint is proprietary educational material. Downloading it does not transfer ownership or grant permission to resell, republish, remove attribution from, or distribute it as your own work. Reasonable sharing of the official download-page link is permitted.

06

User Submissions

You represent that information submitted through the website is accurate to the best of your knowledge and that you have the right to provide it. You retain ownership of information you submit but authorize us and our service providers to process it as reasonably necessary to respond, provide a requested resource, operate the website, protect our systems, and evaluate a potential engagement.

Do not submit Social Security numbers, tax identification numbers, tax returns, bank credentials, complete IRS notices, medical records, or other highly sensitive documents through a public website form. Use the secure Client Portal or another method expressly approved by us.

07

Third-Party Websites & Services

The website may link to or interact with third-party services such as scheduling providers, client portals, social networks, governmental websites, software providers, and insurance carriers. Third-party services are governed by their own terms and privacy notices.

We do not control and are not responsible for third-party availability, content, security, decisions, calculations, products, or services. A link does not by itself constitute endorsement.

08

Availability & Warranties

We may modify, suspend, or discontinue any website feature or content without notice. To the fullest extent permitted by law, the website is provided on an “as is” and “as available” basis without warranties of uninterrupted availability, accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, or any particular outcome.

We do not guarantee that the website will be free from errors, vulnerabilities, harmful components, or temporary interruption.

09

Limitation of Liability

To the fullest extent permitted by applicable law, OAK LEAF BOUTIQUE and its owners, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from website use, inability to use the website, reliance on general content, or use of third-party services.

Nothing in these Website Terms excludes or limits liability that cannot lawfully be excluded or limited. Contractual liability relating to professional services is governed by the applicable engagement documents.

10

Privacy

Our Privacy Policy explains how personal information is collected, used, protected, and disclosed in connection with the website. By using the website, you acknowledge that information will be handled as described in that Policy.

11

Governing Law & Venue

These Website Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. To the extent a dispute relating solely to website use may lawfully be subject to an exclusive forum, it shall be brought in the state courts located in Manatee County, Florida, or the federal court having jurisdiction over Manatee County.

If any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver of the right to enforce it later.
